WHEREAS the parties wish to discuss [PURPOSE — e.g. a potential business engagement] and may exchange confidential information.

NOW THEREFORE the parties agree as follows:

1. DEFINITION OF CONFIDENTIAL INFORMATION

For purposes of this Agreement, "Confidential Information" means any non-public information disclosed by one party to the other, in any form (oral, written, electronic), including but not limited to: business plans, financial data, customer and supplier lists, technical specifications, source code, designs, and pricing.

2. OBLIGATIONS OF THE RECIPIENT

The Recipient shall: (a) keep all Confidential Information strictly confidential; (b) use it solely for the agreed Purpose; (c) limit access to employees, agents and advisors with a need to know who are bound by similar obligations; and (d) take reasonable security measures to protect it.

3. EXCLUSIONS

Information shall not be deemed confidential where: (i) it is or becomes public through no fault of the Recipient; (ii) it was lawfully known prior to disclosure; (iii) it is independently developed without use of the Confidential Information; or (iv) disclosure is required by law or court order.

4. TERM

This Agreement remains in force for a period of three (3) years from the date hereof, and the obligations of confidentiality shall survive for a further three (3) years after termination.

5. NO LICENCE

Nothing in this Agreement grants the Recipient any licence or right to the Confidential Information beyond the agreed Purpose.

6. REMEDIES

The parties acknowledge that breach may cause irreparable harm and the Discloser shall be entitled to injunctive relief in addition to damages.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the United Republic of Tanzania, and the courts of Tanzania shall have exclusive jurisdiction.

NDAs in Tanzania — when and why

A Non-Disclosure Agreement (NDA) protects confidential information shared during business discussions — partnerships, employment, M&A, vendor onboarding, investor pitches. Under Tanzanian common-law principles, confidential information receives protection even without an NDA, but a written agreement makes enforcement dramatically easier and more predictable.

Mutual vs one-way

  • One-way (unilateral) — only one party discloses; only the recipient is bound. Common when an employer briefs a contractor.
  • Mutual (bilateral) — both sides exchange information; both are bound. Default for partnership and JV discussions. Our template above is mutual.

Key clauses to negotiate

  1. Definition of Confidential Information — broad enough to cover what you actually share, narrow enough to be enforceable.
  2. Permitted Purpose — be specific. "For the purposes of evaluating a potential supply agreement."
  3. Term — 2–5 years is typical; perpetuity is rarely upheld.
  4. Exclusions — public domain, prior knowledge, independent development, legal requirement.
  5. Return / destruction of materials on termination or request.
  6. Governing law and jurisdiction — Tanzanian courts unless one party is foreign.

Enforcement in Tanzania

If the recipient breaches, you can seek (a) injunctive relief to stop further disclosure, (b) damages for losses, and (c) account of profits. The High Court has jurisdiction; commercial cases are heard in the Commercial Division. Cross-border NDAs with a Tanzanian counterparty should usually specify Tanzanian governing law and arbitration in Dar.
